1. Agreement and parties

These Terms of Service (the "Terms") govern your access to and use of TeamMedia Agency, available at agency.teammedia.agency, together with related services, content and order processes (collectively, the "Services"). The Services are operated by TeamMedia LLC ("TeamMedia", "we", "us").

By using the Services, requesting an order or creating an account (where available), you agree to these Terms, our Privacy Policy, the Acceptable Use Policy and — for paid services — the Refund & Cancellation Policy and Billing & Subscription Policy, all of which are incorporated by reference.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and capable of entering a binding contract to use the paid Services. If you use the Services on behalf of a company or agency, you confirm that you are authorized to bind that entity, and "you" refers to it.

3. The Services

TeamMedia Agency is part of the TeamMedia ecosystem, which provides creator-agency operations, interactive live-streaming games and professional tooling for TikTok Live creators and agencies. Specific deliverables, timelines and prices for paid engagements are confirmed individually before any invoice is issued.

We continuously improve the Services and may add, change or retire features. Where a change materially reduces functionality you have paid for, you may terminate the affected service and receive a pro-rata refund of prepaid, undelivered amounts.

4. Orders, quotes and payment

Order requests submitted through the Services are not binding purchases and no payment is collected online at submission. A manager reviews each request, confirms scope, price, taxes and timeline with you directly, and issues an invoice or payment link. A contract for the specific engagement is formed when we confirm your order in writing.

All listed prices are in US dollars unless stated otherwise and exclude applicable taxes, which are itemized on invoices where required. Invoices and receipts are provided for every confirmed order.

5. Subscriptions

Recurring plans renew automatically for successive periods equal to the initial term unless cancelled before the renewal date. Cancellation takes effect at the end of the current billing period. Details — including dunning, plan changes and price-change notice — are set out in the Billing & Subscription Policy.

6. Your responsibilities

• Provide accurate contact and billing information and keep it current.
• Keep credentials for any accounts secure and notify us promptly of suspected unauthorized use.
• Use the Services in compliance with applicable law, these Terms, the Acceptable Use Policy and the rules of any third-party platform you stream on.
• Obtain any rights needed for content, trademarks or materials you ask us to use in games, overlays or campaigns.

7. Third-party platforms

The Services interoperate with third-party platforms, most notably TikTok. We do not control those platforms; their availability, policies, payout programs and enforcement decisions can change at any time and are outside our responsibility. TikTok is a trademark of its respective owner; TeamMedia is an independent company and the Services are not operated, sponsored or endorsed by TikTok. See the Disclaimer for details.

8. Intellectual property and license

The Services — including software, games, designs, text and branding — are owned by TeamMedia LLC or its licensors and protected by intellectual-property laws. Paid tools and game formats are licensed to you under the License Agreement; nothing in these Terms transfers ownership.

You retain all rights to content and materials you provide. You grant us a limited license to use them solely to deliver the engaged Services.

9. Confidentiality

Each party will protect the other's non-public business information received in connection with the Services and use it only to perform under these Terms. This obligation survives termination for three (3) years.

10. Disclaimers

Except as expressly stated, the Services are provided "as is" and "as available". To the maximum extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant uninterrupted or error-free operation, and we make no promises about streaming income, follower growth or platform decisions — see the Disclaimer.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues or data. Our total aggregate liability arising out of the Services is limited to the amounts you paid to us for the Services giving rise to the claim in the twelve (12) months before the event. Nothing in these Terms limits liability that cannot be limited by law, including for willful misconduct or gross negligence.

12. Indemnification

You will defend and indemnify TeamMedia LLC against third-party claims arising from your content, your breach of these Terms or the Acceptable Use Policy, or your violation of law or third-party platform rules, except to the extent caused by us.

13. Suspension and termination

You may stop using the Services at any time; paid engagements end according to their order terms and the Refund & Cancellation Policy. We may suspend or terminate access immediately for material breach (including AUP violations), fraud, non-payment after notice, or where required by law. On termination, sections that by nature survive (IP, confidentiality, disclaimers, liability limits, governing law) remain in effect.

14. Changes to these Terms

We may update these Terms as the Services evolve. For material changes we will give at least fourteen (14) days' notice on this page (and by e-mail where we hold one for an active engagement). Continued use after the effective date constitutes acceptance; if you do not agree, stop using the Services before the changes take effect.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of Azerbaijan, without regard to conflict-of-laws rules. Disputes will be resolved by the competent courts of Baku, Azerbaijan, unless mandatory consumer-protection law in your country of residence provides otherwise. Before formal proceedings, the parties agree to attempt good-faith resolution via [email protected].

16. Miscellaneous and prevailing language

If any provision is held unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or asset transfer with notice to you.

These Terms may be presented with convenience summaries in other languages; the English version prevails in case of conflict.
